1. Acceptance of These Terms

These Terms of Service (“Terms”) are a legally binding agreement between you (“you” or “Subscriber”) and Cheddagram, operated by Lewis Properties (“Cheddagram,” “we,” “us”). By creating an account, subscribing, or using any part of the Cheddagram service (the “Service”), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Account & Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. You must provide accurate, current, and complete information when you register, and keep it updated. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Notify us immediately at security@cheddagram.com if you suspect unauthorized use.

Each subscription is for a single business or individual account. Sharing login credentials outside of team members added to your account is prohibited.

3. Subscription & Billing

Plans

Cheddagram is offered on a monthly or annual subscription basis. Current plan pricing is listed on our pricing page. Each plan includes a monthly letter allotment; letters sent beyond your allotment are billed as metered overage at the per-letter rate for your plan. Handwritten letters are billed as an add-on at a flat per-letter rate on top of your subscription.

Billing cycle

Payments are processed by Stripe. Subscriptions renew automatically at the start of each billing period (monthly or annually) until you cancel. Metered charges (overage letters and handwritten add-ons) are billed at the end of each billing period.

Price changes

We may change subscription pricing with at least 30 days' notice by email. Changes take effect on your next renewal after the notice period.

Refunds

Except where required by law, subscription fees and letter costs are non-refundable. If a letter fails to mail due to our error (not due to bad recipient data you provided), we will refund the cost of that letter as a credit to your account.

Taxes

You are responsible for any applicable taxes on your subscription and metered charges.

4. Free Trial

New accounts may be eligible for a 7-day free trial with up to 3 free letters. At the end of the trial, your subscription automatically converts to the paid plan you selected at signup and you will be charged. You may cancel at any time during the trial with no charge by visiting your Settings → Billing page. Letter overage and handwritten add-on charges are not covered by the trial and are billed as they are incurred.

5. Acceptable Use

You agree not to, and will ensure your users do not:

  • Use Cheddagram to send unlawful, harassing, threatening, defamatory, or discriminatory communications.
  • Use Cheddagram to advertise anything unlawful (unregistered securities, controlled substances, illegal firearms, human trafficking, etc.).
  • Impersonate another person, business, or public official.
  • Attempt to circumvent your letter allotment or usage limits.
  • Reverse-engineer, decompile, or attempt to derive the source code of the Service.
  • Resell, sublicense, or make the Service available to third parties without our written consent.
  • Use the Service to make any use of data that is regulated by the Fair Credit Reporting Act (FCRA), including tenant screening, employment screening, or credit decisions.
  • Send letters to recipients who have previously requested that you stop.
  • Introduce malware, spam, or attempt to disrupt the Service's operation.

We may suspend or terminate your account immediately if we believe you have violated this section.

6. Direct Mail, SMS, & Compliance

Cheddagram lets you send physical mail and, where enabled, SMS messages. You are the “sender” of every letter and message. You represent and warrant that:

  • You will comply with the CAN-SPAM Act, TCPA, state Do-Not-Mail and Do-Not-Call registries, and all applicable federal, state, and local laws.
  • You have a legitimate business purpose for contacting each recipient.
  • You will provide accurate return address and contact information on every letter, and will not use Cheddagram to mask your identity.
  • You will honor opt-out requests within seven (7) days.
  • For any SMS or voice campaigns, you have obtained proper consent as required by law.

You acknowledge that certain states, counties, and municipalities have specific rules for real-estate solicitation letters (e.g., mandatory license disclosures). You are responsible for including any legally required text in your letter templates.

7. Your Content & Data

You retain ownership of all content you upload or create in Cheddagram, including your letter templates, signature, CRM notes, and contact lists (“Your Content”). You grant us a limited, non-exclusive license to host, transmit, print, mail, and process Your Content solely to provide the Service to you.

You are responsible for ensuring that Your Content is accurate and that you have the right to send it.

8. Intellectual Property

The Cheddagram name, logo, brand, software, templates we provide, marketing content, and Service as a whole are the intellectual property of Cheddagram and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms during your active subscription. All rights not expressly granted are reserved.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RECIPIENT INFORMATION OBTAINED THROUGH OUR THIRD-PARTY PROVIDERS WILL BE CURRENT OR ACCURATE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CHEDDAGRAM, ITS AFFILIATES, OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS OPPORTUNITIES, OR LOST DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID CHEDDAGRAM IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to defend, indemnify, and hold harmless Cheddagram and its officers, directors, employees, and agents from and against any claims, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Your Content; (b) your use of the Service in violation of these Terms or applicable law; (c) any communications you send through the Service; or (d) your violation of a third party's rights.

12. Termination

You may cancel your subscription at any time by visiting Settings → Billing. Cancellation takes effect at the end of your current billing period; you retain access until then and will not be charged again.

We may suspend or terminate your account at any time for any material breach of these Terms, non-payment, or for any conduct we reasonably believe could expose us or our users to legal liability. On termination, your right to use the Service ceases immediately. Sections 7–13 survive termination.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. The exclusive venue for any dispute arising out of these Terms or the Service will be the state or federal courts located in Williamson County, Texas, and you consent to personal jurisdiction there.

Informal resolution first. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@cheddagram.com. We will attempt to resolve the dispute within 60 days.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or an in-product notice at least 30 days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
